- Understand indemnification better
- Learn how to effectively limit your company’s liability and how to limit your conterparty’s limitations
- Understand the Common Law basis for the term “consequential damages” and its meaning
- Learn how to draft indemnification and limitation of liability clauses

Exercise 1 :
Test your English: Choose the correct word from various English synonyms
Understanding some basics:
-What is Common Law and how is it different from Civil Law?
-Importance of the governing law choice
-English is not always English! Differences in communicating and drafting among Common Law countries
Drafting in English
-Improve your drafting in English: Style and tips
-How to avoid common mistakes and “faux amis”
-See how errors have impacted Common Law decisions
Exercises 2, 3 and 4:
Mark-up the supply contract to correct several errors in drafting
Understanding complicated clauses
-Tips on how to deconstruct them
Exercises 5a, b and c:
Deconstruct long and difficult common law clauses and reword in simple language
Selected Topics in Drafting: Practice Points
-What are best/reasonable efforts under Common Law?

Exercise 1:
Using the model supply contract, convert sell-side indemnification clause to buy-side
Primer on Liability and its Exclusions, Limitations and Carve-outs
-What are the types of damages recoverable under Common Law?
-How to deal with consequential damages and lost profits; what is the difference?
-Exclusions, Limitations and Carve-outs:
-Drafting tips for exclusions from liability clauses, buy-side and sell-side
-Drafting tips for limitation of liability clauses, buy-side and sell-side, including multiple caps
-Drafting tips for carve-outs from limitation on liability clauses, buy-side and sell-side
Exercise 2:
Using the model supply contract, convert buy-side exclusion of consequential damages to a sell-side position
Exercise 3:
Using the model supply contract, draft a limitation of liability clause (sell-side)
Exercise 4:
Using the model supply contract, draft carve-outs (buy-side) from seller’s exclusion of consequential damages and limitations of liability
Some Oral Tests:
Modify standard liability clauses, switching between sell-side and buy side

A NY law governed supply contract (American supplier / French customer) will be used throughout the course as a basis for the exercises.
