Pré-requis

Etre titulaire d’un Master 2 en droit ou équivalent. Vous pouvez si vous le souhaitez suivre les modules « Drafting Common Law Contracts In English ( 1&2) » au préalable.

La formation est délivrée en anglais : la maîtrise de l’anglais professionnel est fortement recommandée.

Cette formation porte sur le Common Law ; le contrat utilisé comme base de formation est sous la loi de New York.

Cette formation est ouverte aux adhérents AFJE et aux non adhérents.
Niveau : intermédiaire

Durée et modalités d'organisation :

Les 4 heures de formation sont délivrées en 2 fois 2 heures de formation à distance :
9 novembre 2022 9h00-11h00 (2h) - Accueil dès 8h45
10 novembre 2022 14h30-16h30 (2h) - Accueil dès 14h15
Soit un total de 4 heures.
Effectif prévu : de 8 à 18 stagiaires.

Understanding Representations and Warranties 

-What is the difference between representations, warranties, reps & warranties, and covenants? Why does it matter?

-How to protect your client by identifying the correct buy-side or sell-side perspective

How to Draft Representations and Warranties 

-How to shift risk in drafting reps & warranties through application of buy- or sell-side qualifications

-Hands-on drafting of reps & warranties, buy-side and sell-side

Exercices, 3, 4, 5, 6 and 7

Apply and test the above concepts

Converting R&W from buy side to sell side and vice versa

 

Basics of Material Adverse Change/Material Adverse Effect 

-Definitions: what is the difference between MAC, MAE and force majeure?

-The test of MAC through recent US cases

 

Drafting Tips for MAC/MAE 

-Drafting tips: building a MAC clause; what are the three levels of MAC?

-Hands-on drafting of MAC/MAE clauses covering scope, exceptions and carve-outs, buy-side and sell-side

-How useful is a MAC?

 

MAC and Covid 19

A NY law governed supply contract (American supplier / French customer) will be used throughout the course as a basis for the exercises.
