Pré-requis

Etre titulaire d’un Master 2 en droit ou équivalent. 

La formation est délivrée en anglais : la maîtrise de l’anglais professionnel est fortement recommandée.

Cette formation porte sur le Common Law ; le contrat utilisé comme base de formation est sous la loi de New York.

Cette formation est ouverte aux adhérents AFJE et aux non adhérents.

Durée de la formation et modalités d’organisation 

Les 4 heures de formation sont délivrées en 2 fois 2 heures chacun de formation à distance : 

11 mai 2022 9h00-11h00 (2h00) - Accueil dès 8h45

13 mai 2022 14h30-16h30 (2h00) - Accueil dès 14h15

Soit un total de 4 heures.

Effectif prévu : de 8 à 18 stagiaires.

Exercise 1 

Test your English:  Choose the correct word from various English synonyms

Understanding what is Common Law and how does the American system function (federal system)

-Some basics:  US Constitution, the Separation of Powers, Interplay Rules Among Courts

-Contracts Under Common Law

-Comparison of Common Law and Civil Law

Understanding the importance of the governing law choice in your contract

Drafting in English -Improve your drafting in English

-Style and tips

-How to avoid common mistakes and “faux amis”

-Examples from recent U.S. Court Decisions: See the chaos that lawyers’ errors have caused their clients 

 Exercises 2, 3, 4, 5 and 6:

Apply the concepts

Mark-up the supply contract to correct several errors in drafting

Understanding complicated clauses

 -Tips on how to deconstruct them in order to learn to understand them

-Practice in simplifying clauses in order to explain them to business people

 Exercises 7, 8, 9, 10 and 11:

Deconstruct long and difficult common law clauses and reword in simple language

Synthesize long clauses 

English is not always English! Differences in communicating and drafting among Common Law countries

-Summary comparison of negotiating and drafting styles in the US, England, South Africa, Australia and India

Moyens et méthodes pédagogiques

L’animation s’appuie sur des exposés et exercices en groupe.

A NY law governed supply contract (American supplier / French customer) will be used throughout the course as a basis for the exercises.
